Terms of Use – Qin Systems

These Terms of Use, govern your access and use of www.qinsystems.com (we, us, site) in any way, including its services and participation in the reviews. Users to whom these terms apply may include, without limitation: potential software buyers, software vendors, game buyers, game vendors, solution buyers, solution vendors, reviewers, industry insiders, enthusiasts, and media relations professionals.

Qin Systems reserve the right to update or otherwise modify the Terms of use for the site from time to time. You are responsible for checking these Terms periodically for any changes and any updates. Your use of the site and services following such posted changes and updates constitutes acceptance of such changes and updates.

By using the Qin Systems website in any way, including creating an account, or submitting content, getting any service, you attest that you have read, understood, and agreed to be legally bound by these user terms.

IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU MUST STOP USING THIS SITE.

1. Use of this site

By using this Qin Systems website, you represent and warrant, to the best of your knowledge that

·       You have all the necessary right, power and authority to enter into these Terms and to fulfill you contractual obligations hereunder;

·       All information you provide is true, accurate. Complete and not misleading;

·       If you have a user or vendor account, you will be responsible for your account information and for account activity and that you will not allow any other person or entity to use your account;

·       You are at least 18 years of old and if you are not and still use it for gaming discovery or any other use, you must have parental permission to access the site;

·       You will use this site solely for the intended purposes of the site;

·       You will comply with these terms and applicable law.

We reserve the right to deny access to anyone for any reason, including violations of these terms.

2. Eligibility

• You must be at least 18 years old as the Qin Systems website is intended for those who are 18 years or older.
• You must provide accurate, current information when you register.
• You are responsible for keeping your password secure. Don’t share your account.

3. Reviews

You may only write a review if you have used the software or games or solutions mentioned in our site. You are responsible for backing up any content you post.

We are not responsible and assume no liability for any review posted, stored, uploaded by you or third parties, nor for any associated loss or damage.  We are not liable for any inaccuracies, defamation, slander, libel, omissions, falsehoods or offensive material you may encounter.  We exist to give buyers trustworthy information. That only works if reviews are genuine.

Allowed:

• Honest opinions (positive, negative, or neutral);
• Compensation disclosure: if you received anything of value (discount, gift, payment), you must clearly say so in the review;
• Constructive criticism;

Never allowed (which includes the following, but is not limited to)

• Reviews copied from other sources;
• Fake reviews;
• Reviews written by the vendor or their employees/contractors (unless clearly disclosed and based on real use);
• Incentives tied to review sentiment (“free upgrade only if you give 5 stars”);
• Defamatory, Inappropriate, violet, or hateful comments;
• Illegal content;
• Generated by AI except for language translators;
• Pressuring or harassing reviewers to change/delete reviews;
• Multiple accounts to boost or hurt ratings
• Lacking critical identifying information from your profile, as we promote only verified reviews;
• Spam (the review should not be self-promoting or nonsensical).

We actively monitor for low quality reviews mentioned above. If we find it, we may:

• Remove reviews;
• Add a visible warning banner on the vendor’s page;
• Suspend or ban accounts;
• Share evidence publicly.

4. Content, License and Consent

By posting any content ("Submissions") on the Qin Systems website, you grant us and our partners, a worldwide, royalty-free, perpetual, irrevocable, transferable, and fully sublicensable license to use, copy, display, perform, reproduce, distribute, modify, translate, analyse, commercialize, and create derivative works of your Submissions in any manner, including generating Derived Data (defined below).

You also grant all other site users a non-exclusive license to access and use your Submissions through the Service.

You may not include any third-party confidential or proprietary information in your Submissions.

For reviews specifically:

To the fullest extent permitted by law, you irrevocably waive and release all claims of any kind against the site, its affiliates, licensees, successors, and assigns arising from any use of your Submissions, including claims based on negligence.

You represent and warrant that you are 18+, have full authority to grant these rights, your Submissions are true and accurate, granting these rights violates no third-party rights or agreements, and no third-party consent or payment is required.

You retain ownership of your original Submissions, but all Derived Data—any analyses, aggregations, scores, ratings, rankings, benchmarks, insights, algorithms, metadata, or other data the site creates, derives, or infers from your Submissions or activity—are our sole and exclusive property. You have no rights to Derived Data and may not use, extract, copy, or distribute it without our express written permission.

You waive all moral rights (including attribution and integrity) in your Submissions, have no objection to any use, modification, or deletion by us or our partners, and release us from any related claims.

All Site content and infrastructure is proprietary to us (unless stated otherwise). You may not copy, modify, distribute, reproduce, create derivative works from, sell, or resell any content obtained from the Site.

We will always show your chosen display name (or “Anonymous” if you choose) with your review.

4. Prohibited Activities (No AI training, No scraping, and Data Extraction)

Don’t use the site to (including, but not limited to):

• Break any law;
• Post spam, malware, viruses, or phishing links;
• Harass, threaten, or bully;
• Post hate speech, pornography, or illegal content;
• Overload or disrupt the site (DDoS, bots, etc.).

Further, without our express prior written consent, you must not:

(a) Use bots, scrapers, crawlers, or any automated means to access, collect, extract, store, cache, index, or harvest any content or data from the Service (including reviews, ratings, metadata, Derived Data, rankings, or site structure)—even if publicly viewable.

(b) Bypass or disable any access controls, rate limits, CAPTCHAs, bot detection, robots.txt, IP blocks, or other protections.

(c) Use any Service content or data to train, test, fine-tune, or improve any AI, machine-learning model, algorithm, or dataset.

(d) Replicate the Service’s look-and-feel, functionality, category structure, or user experience.

(e) Sell, sublicense, redistribute, publish, or commercially exploit any Service content or data.

(f) Hide or misrepresent your identity or traffic source (proxies, VPNs, fake user agents, alias accounts, etc.).

These rules bind all users and bots, apply to public content, and are legally enforceable per court precedents.

Violations are material breaches and may trigger immediate access termination, IP blocking, countermeasures, and legal action (damages, injunctions, attorneys’ fees)

5. Vendor-Specific Rules

5.1 Definitions

“Personal Data”, “Controller”, “Processor”: same as in GDPR.

“Applicable Data Protection Laws”: all privacy laws that apply to the data.

“Primary Purpose”: contacting the lead via Qin Systems services.

“Receiving Controller”: you (the software or gaming or solutions vendor receiving the lead).

5.2 Review Rules

Vendors are welcome to claim their listing, modify their profiles, and respond to reviews professionally.

With regards to rules, Vendors may NOT:              

• Create or solicit fake reviews
• Offer incentives conditional on positive reviews
• Contact reviewers directly to pressure them
• Use legal threats to suppress honest reviews

Violations will trigger warnings, ranking penalties, or removal from the site.

5.1 Further Rules:

You and Qin Systems are independent controllers — each fully separate responsibilities, not joint controllers. You may use the Personal Data for the Primary Purpose without additional notice or consent. For any Secondary Purpose (marketing, advertising, etc.), you must first give the individual clear written notice and an easy, ongoing opt-out (or obtain consent if required by law).

You must implement appropriate technical and organisational security measures, including:

·       Strict access controls (only those who need it);

·       Prompt revocation of access when no longer needed;

·       Secure transfer methods;

·       Full responsibility for breaches in your or your subcontractors’ custody;

·       Regular privacy training for all staff who handle the data.

You must comply with all Applicable Data Protection Laws, including:

·       Providing required notices and obtaining any necessary consents before processing or sharing;

·       Honoring data subject rights promptly (access, rectification, deletion, etc.);

·       Responding to individuals’ or regulators’ inquiries about your processing.

In short: You are fully and independently responsible for legally and securely handling any leads Qin Systems sends you.

6. Intellectual Property

Everything on the site except user-submitted content (design, logos, text, code, aggregated data, ratings algorithms) belongs to us. You may not copy, reproduce, or create derivative works without permission.

7. Disclaimer & Limitation of Liability

We work hard to keep the site accurate and running smoothly, but we make no guarantees.

The content, information, software, gaming, solutions, products, and services on this site may contain inaccuracies or errors. Qin Systems makes no guarantees about their accuracy and expressly disclaims all liability for any errors or omissions — including but not limited to pricing, screenshots, videos, feature lists, vendor information, or product descriptions.

All information and services are provided "AS IS" without warranty of any kind. Qin Systems disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and that the site, servers, content, or emails are free of viruses or other harmful components.

Qin Systems (including its officers, directors, employees, agents, and affiliates) shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever arising from your access to or use of this site — including damages from viruses, reliance on site content or opinions, linked sites, inability to access the site, or any other matter relating to the site — regardless of the legal theory (contract, tort, negligence, strict liability, etc.), even if Qin Systems has been advised of the possibility of such damages.

These limitations reflect the allocation of risk between the parties, will survive and apply even if any limited remedy fails of its essential purpose, and inure to the benefit of Qin systems and its partners.

8. Mutual Indemnification

Each party (as “Indemnitor”) shall indemnify, defend, and hold harmless the other party and its affiliates, agents, and employees (as “Indemnitee”) from and against all third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys’ fees, settlement amounts, and damage awards) arising out of or relating to the Indemnitor’s breach of these General User Terms, except to the extent such claims arise from the Indemnitee’s own negligence or wilful misconduct.

9. Privacy

Your personal data is governed by our separate Privacy Policy. Please review our privacy policy to understand our practices further. By using the site, you agree to it.

10. Changes to These Terms

We may update these Terms at any time. We’ll post the new version here and update the date. Material changes will be highlighted or emailed to registered users. Continued use means you accept the changes.

11. Termination

11.1 By Us (For Cause or Convenience)

We may, at any time and in our sole discretion, without notice or liability:

·       suspend, restrict, or terminate your access to our Site and Services (or any part thereof), including if we believe you are violating these Terms; or

·       terminate your Account entirely.

If you use or attempt to use our Sites or Services in any way that violates these Terms (including tampering, hacking, data scraping, or impairing security or functionality), you may also be subject to civil and criminal liability.

11.2 By You

You may terminate your Account at any time by emailing support@qinsystems.com. We will endeavor to delete your account within 5 (five) business days. After termination, you may still access certain public portions of our Sites and Services, but you will lose access to full functionality and account-specific features.

Even after you are no longer a user or vendor of qin systems, these Terms & Conditions — and any other provisions that we reasonably determine should survive — will continue to remain in full force and effect.

12. Governing Law & Disputes

These Terms are governed by the laws based in the headquarter of Qin Systems (without regard to conflict of laws principles). All claims arising out of or relating to these Terms of use will be litigated exclusively in the courts mentioned above, and users and vendors of website consents to personal jurisdiction in those courts.

13. No Waiver; Severability

Our failure to act on any breach of these General User Terms does not constitute a waiver and does not limit our right to act on that breach or any subsequent or similar breaches.

If any provision of these General User Terms is held invalid, void, or unenforceable under applicable law, that provision will be deemed severable and will not affect the validity or enforceability of the remaining provisions.

14. Entire agreement

These Terms of Use, together with our and Privacy Policy, constitute the complete and exclusive agreement between you and us with respect to their subject matter, and supersede, replace, and nullify any prior, conflicting, or additional terms or agreements.
